Terms of Use

1. Who can use Inroadly

You must be at least 18 years old, and able to enter a binding agreement. Inroadly is a professional tool for understanding the people involved in business relationships.

2. Your account

• Give accurate sign-up details and keep your password safe. You're responsible for what happens under your account.
• Tell us straight away at john@frameperfectdigital.com if you think someone else has used your account.
• One person per account. Don't share your sign-in.

3. Price

Inroadly is currently free. If we introduce paid plans, we'll tell you in advance. We'll never charge you without your agreement, and you can export your data and leave at any time.

4. Your content

You own everything you add to Inroadly ("your content"). You give us permission to store, process and display it only as needed to provide Inroadly to you. We claim no other rights to it.

You're responsible for your content. In particular, you agree that:

• you have a lawful reason to hold any personal information you add about other people, and you comply with the privacy and data protection laws that apply to you (for example GDPR if you or they are in the EU or UK);
• you won't add sensitive information: health details, government ID numbers, financial account or card numbers, passwords, or information about someone's race, ethnicity, religion, politics, sexuality or criminal record; and
• you have the right to upload any files you import.

5. How we handle the personal data in your content

For personal information you add about other people, you're the controller and we're your processor. We will:

• process it only to provide Inroadly to you, and on your instructions (which are these terms and how you use the app);
• keep it confidential, and protect it with the security measures described in our Privacy Policy;
• use only the service providers listed in our Privacy Policy, under terms that protect the data, and tell you before adding new ones;
• help you respond to requests from the people concerned, and with your own legal obligations, where reasonable;
• tell you without undue delay if we become aware of a breach affecting it; and
• delete it when you delete it or your account (backup copies are overwritten within 30 days).

6. Acceptable use

Don't use Inroadly to:

• break the law or anyone else's rights, including privacy, intellectual property and anti-spam laws;
• stalk, harass, intimidate or discriminate against anyone, or build profiles of people for purposes unrelated to legitimate business relationships;
• try to access other users' data, get around security or usage limits, or test for vulnerabilities without our written permission (report problems to john@frameperfectdigital.com instead);
• overload, disrupt, scrape or reverse-engineer the service, or use automated tools to create accounts; or
• upload malicious code, or resell or rent out access to Inroadly.

7. Our service

Inroadly's software, design, name and logo belong to Frame Perfect Digital. You may use Inroadly for your own business purposes under these terms. If you send us ideas or feedback, we may use them without owing you anything.

We work hard to keep Inroadly available and secure, but we may change features, and it may occasionally be unavailable. Because we can't guarantee we'll never lose data, please keep your own copies of anything important (use Your data in Account settings).

8. Ending your use

You can delete your account at any time in Account settings. We may suspend or close accounts that break these terms or put other users or the service at risk. Where reasonable, we'll tell you first and give you a chance to export your data. We may also stop offering Inroadly; if so, we'll give at least 30 days' notice so you can export your data.

9. Disclaimer

Inroadly is provided "as is" and "as available". To the fullest extent the law allows, we give no warranties of any kind, whether express or implied, including that it will be uninterrupted, error-free, completely secure, or fit for a particular purpose. You're responsible for the decisions you make using it.

10. Limits on our liability

To the fullest extent the law allows:

• we aren't liable for indirect, incidental, special, consequential or punitive losses, or for lost profits, revenue, deals, data or goodwill, even if we were told they were possible; and
• our total liability for all claims relating to Inroadly is limited to the greater of US $100 or the amount you paid us in the 12 months before the claim.

Nothing in these terms limits liability that can't be limited by law, such as for fraud, or for death or personal injury caused by negligence, or the rights consumers have under the laws where they live.

11. Your responsibility to us

If someone makes a claim against us because of your content, or because you broke these terms or the law, you agree to cover our reasonable costs and losses from that claim, including legal fees.

12. Governing law and disputes

These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules. Any dispute will be handled by the state or federal courts located in Travis County, Texas, and both sides agree to their jurisdiction. If you're a consumer, you also keep any right to bring claims in the courts where you live and the protection of your local laws. Before going to court, please email us so we can try to sort it out informally.

13. Changes to these terms

We may update these terms. For important changes, we'll tell you by email or in the app at least 14 days before they take effect. If you keep using Inroadly after that, you accept the new terms. If you don't, you can export your data and delete your account.

14. General

These terms and the Privacy Policy are the whole agreement between us about Inroadly. If part of them can't be enforced, the rest still applies. If we don't enforce something straight away, we haven't given up the right to. You can't transfer these terms to someone else without our agreement; we may transfer them if the business is sold or reorganised.
